Commissioned Work – Digital Download License Agreement

This agreement is intended to clarify Commissioned Usage – Digital Download License Agreement conditions, terms and guidelines.
Terms of Contract
Ikebana artist Donna Canning will be hired to produce and photograph bespoke arrangements exclusively for The Client.
Commissioned arrangements give exclusive ownership of digital rights to The Client with certain restrictions as listed below. The image(s) will never be sold to anyone else.
All images are provided in high-quality TIFF format (300dpi) approximately 30-80MB in size.
Project Stages
Stage I
An initial consultation with the artist is arranged to discuss specifics, such as the occasion or purpose.
Stage II
Both parties sign the License Agreement. A non-refundable deposit payment of $500 from The Client is due at this stage. This payment can be made by credit card or by bank transfer.
Stage III
The artist will then create, photograph and propose two original arrangements for The Client to select from. An allowance of up to 30 days after receipt of deposit payment is required for the proposal. The proposed images will be sent to The Client in full-scale, 300dpi and watermarked for copyright purposes.
Stage IV
Once The Client has selected their preferred choice of arrangement, the remaining fee of US$1,500 is due. Upon receipt of payment the selected image(s) will be available for download from a secure link that is provided to The Client. With each image purchased, clients will receive a printed signed Certificate of Authenticity and an Artist’s Interpretation of the applicable artwork. This certificate will be post mailed to The Client.
Usage Output
For interior display purposes, this license agreement permits up to a total of 100 prints per image. Multiple locations are permitted within the same company. If more than 100 prints are required, please contact service@uniquejapan.com to discuss the project.
The image(s) can be used on a corporate website or within a marketing brochure with a print run of up to 100,000 units. For brochure print-runs exceeding 100,000 units please contact service@uniquejapan.com to discuss the project.
Restrictions

  • This is a ‘non-transferrable’ license – Clients are not permitted to sell, rent, loan, upload to a web server or social media, give, sublicense, or otherwise transfer any standalone content to a third party. Image(s) may not be used for more than one client at a time.
  • You may not

  • Incorporate image(s) into merchandise or products for distribution and/or sale. Merchandise includes, by way of example only, “print on demand” products, t-shirts, mugs, posters, postcards, cellphone covers, computer skins, and other items.
  • Use any image(s) together with pornographic, defamatory, or otherwise unlawful or immoral content or in such a manner that it infringes upon any third party’s trademark or intellectual property rights;
  • Use any image(s) in such a way as to imply that the artwork or artist personally uses or endorses a product or service, or endorses any political candidate or controversial opinion.
  • Falsely represent, expressly or by way of reasonable implication, that the image(s) is created by a person other than the copyright holder.
  • Use any image (in whole or in part) as a trademark, service mark, or logo.
